End User License Agreement

The Daily Balance Pro LLC · Effective September 4, 2026

This End User License Agreement (“Agreement”) governs use of the Braguinha Hermes API and related internal software that connects to Intuit QuickBooks Online (the “Software”), provided by The Daily Balance Pro LLC (“Licensor”).

1. License

Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for internal bookkeeping, tax, and financial-operations purposes for companies you own or are authorized to manage.

2. Restrictions

You may not: (a) sell, sublicense, or publicly redistribute the Software; (b) reverse engineer the Software except where prohibited by law; (c) use the Software to access QuickBooks data without proper Intuit authorization; or (d) use the Software for unlawful purposes.

3. Intuit services

QuickBooks Online is provided by Intuit Inc. Your use of QuickBooks remains subject to Intuit’s terms. Licensor is not Intuit and is not responsible for Intuit outages, product changes, or Intuit account security.

4. Data

You authorize Licensor to access QuickBooks data you connect, as described in our Privacy Policy. You represent that you have authority to grant that access for each company file.

5. No professional warranty substitute

The Software assists with workflows. It does not replace professional judgment. Final responsibility for filings, books, and tax positions remains with you and your licensed professionals.

6. Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM USE OF THE SOFTWARE.

8. Termination

This license ends if you disconnect the integration, if Intuit revokes access, or if Licensor terminates the Software. Sections that by nature should survive will survive termination.

9. Governing law

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law rules.
